This End User License Agreement (“Agreement”) is a legal agreement between you and Decisive LLC (“Company,” “we,” “us,” or “our”) for the use of the Fieldglass Invoice Automation application (“Application”).
By accessing or using the Application, you agree to be bound by this Agreement. If you do not agree to these terms, do not use the Application.
Subject to the terms of this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Application solely for internal business purposes related to invoice processing and accounting automation.

Your use of these services is subject to their respective terms of service and privacy policies. We are not responsible for the availability, accuracy, or content of these third-party services.
The Application processes invoice data from SAP Fieldglass and creates corresponding invoices in QuickBooks Online. By using the Application, you authorize this data transfer and processing.
The Application and all related intellectual property rights are and shall remain the exclusive property of Decisive LLC. This Agreement does not grant you any rights to trademarks, service marks, or logos.
THE APPLICATION IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
IN NO EVENT SHALL DECISIVE LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE APPLICATION.
You agree to indemnify and hold harmless Decisive LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising out of your use of the Application or violation of this Agreement.
We may terminate or suspend your access to the Application immediately, without prior notice or liability, for any reason, including breach of this Agreement.
We reserve the right to modify this Agreement at any time. We will provide notice of material changes by updating the “Last Updated” date. Your continued use of the Application after such modifications constitutes acceptance of the updated Agreement.
This Agreement shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

This Agreement constitutes the entire agreement between you and Decisive LLC regarding the Application and supersedes all prior agreements and understandings.
